1. Acceptance of Terms
By accessing and using Dev02, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
Dev02 is a platform operated by Delix Ltd (BULSTAT: BG204861966) that connects companies with verified IT engineers. We provide the infrastructure for matching, contracting, and payment processing between companies and engineers.
Our service model works as follows:
- Engineers register on the platform and submit their desired rate
- Companies send requests for engineers at specific rates
- Our platform administrators review and approve requests
- Before approval, we send NDA (Non-Disclosure Agreement) documents for signature by both parties
- Upon signature, we determine the final rate for the engagement
- All contracts are entered into directly with Dev02 (Delix Ltd)
- All payments are processed through our platform
- We earn a commission percentage on each transaction
3. User Obligations and Process
For Engineers:
- Register on the platform and provide accurate information
- Submit your desired rate during registration or profile setup
- Sign NDA documents when requested by Dev02 before engagement approval
- Enter into contracts directly with Dev02 (Delix Ltd)
- Receive all payments through the Dev02 platform
- Comply with all applicable laws and regulations
- Respect intellectual property rights
For Companies:
- Register on the platform and provide accurate company information
- Submit requests for engineers at specific rates
- Sign NDA documents when requested by Dev02 before engagement approval
- Enter into contracts directly with Dev02 (Delix Ltd)
- Make all payments through the Dev02 platform
- Not engage in direct payments with engineers outside the platform
- Comply with all applicable laws and regulations
All Users agree to:
- Not engage in fraudulent or misleading activities
- Maintain the confidentiality of account information
- Accept that Dev02 administrators review and approve all requests
4. Contract and Payment Terms
All engagements are contracted directly with Dev02 (Delix Ltd, BULSTAT: BG204861966). Both companies and engineers enter into agreements with our platform, not with each other directly.
Payment arrangements:
- All payments must be processed exclusively through our secure platform
- Payments are processed on a monthly basis
- Each month, Dev02 issues an invoice to the company with a maximum payment period of one month
- For non-fixed-price contracts, each invoice includes a timesheet documenting the hours worked
- Companies pay Dev02 monthly, and Dev02 pays engineers according to the agreed terms
- The final rate for each engagement is set by Dev02 upon approval of the request and completion of NDA signatures
- Dev02 charges a commission percentage on each transaction, which is included in the rate structure
- All payment terms, including commission rates, are clearly communicated before engagement begins
- Disputes are handled through our mediation process
VAT Information: Dev02 is operated by Delix Ltd, registered in Bulgaria (BULSTAT: BG204861966). For companies outside of Bulgaria, VAT is not charged on our services in accordance with Bulgarian and EU tax regulations for B2B services. For companies within Bulgaria, standard VAT rates apply as per Bulgarian tax law. All invoices will clearly indicate the VAT status based on your company's location.
By using our platform, you agree that all financial transactions related to engagements must go through Dev02. Direct payments between companies and engineers outside of our platform are strictly prohibited and may result in immediate termination of accounts.
5. Intellectual Property
The intellectual property rights in the work created by engineers belong to the parties as agreed in their individual contracts. Dev02 retains rights to the platform and its technology.
6. Limitation of Liability
Dev02 (Delix Ltd) acts as the contracting party for all engagements. While we facilitate connections between companies and engineers, all contracts are entered into with Dev02. We provide dispute resolution services to help resolve issues, but our liability is limited as follows:
- Dev02 is not responsible for the quality of work performed by engineers beyond our verification and approval process
- Dev02 is not responsible for the obligations of companies beyond our contractual relationship
- We provide support for finding replacement engineers when needed, as part of our service commitment
- Users engage through our platform at their own risk, subject to our approval and contract terms
7. Termination
We reserve the right to terminate or suspend access to our service immediately, without prior notice, for any breach of these Terms. You may also terminate your account at any time.
8. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any material changes via email or platform notification.
